Binding Legal Agreement

5 Indemnification

  • Warranties that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURENET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO:

  • Your use or inability to use our services.
  • Security breaches or vulnerabilities that occur despite our services.
  • Unauthorized access to or alteration of your data or systems.
  • Any errors, omissions, or inaccuracies in our services or recommendations.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR OUR SERVICES DURING THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR €500, WHICHEVER IS GREATER.

Cybersecurity Limitations

While we strive to provide comprehensive cybersecurity analysis, no security assessment can identify all vulnerabilities or guarantee complete protection against all threats. Cybersecurity is an ongoing process, and the threat landscape constantly evolves. We are not responsible for security incidents that occur despite our recommendations or for vulnerabilities that emerge after our assessment.

Third-Party Services and Links

Our website may contain links to third-party websites or reference third-party services. We are not responsible for the content, privacy practices, or security of these external resources. Your interactions with third-party services are governed by their own terms and conditions and privacy policies.

Legal Provisions and Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of Limassol, Cyprus, and you hereby consent to the personal jurisdiction and venue of such courts.

Dispute Resolution Process

In the event of any dispute, claim, or controversy arising from or relating to these Terms and Conditions or our services, the parties agree to attempt to resolve the matter through good faith negotiations. If negotiations fail within 30 days, either party may pursue the following resolution process:

  1. 1. Mediation: The parties will attempt to resolve the dispute through mediation with a mutually agreed mediator in Cyprus.
  2. 2. Arbitration or Litigation: If mediation is unsuccessful, disputes may be resolved through binding arbitration or litigation in the courts of Limassol, Cyprus, as appropriate.

Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the original provision.

Entire Agreement

These Terms and Conditions, together with our Terms of Service, Privacy Policy, and any additional agreements or service contracts you enter into with SecureNet, constitute the entire agreement between you and SecureNet regarding the use of our services. These terms supersede any prior agreements, understandings, or representations, whether oral or written.

Waiver

No waiver of any term or condition of this agreement shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Force Majeure

SecureNet shall not be liable for any failure or delay in performance of its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, internet or telecommunications failures, or cyber attacks.

Assignment

You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent. SecureNet may assign or transfer its rights and obligations under these terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Modifications to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time at our sole discretion. When we make material changes, we will provide notice by posting a prominent announcement on our website or by sending notification to the email address associated with your account if you have provided one.
